Brian Egan is an associate in the Tax, Employee Benefits and Trusts and Estates Practice Group in the firm's Los Angeles office. His practice focuses on executive compensation.
Areas of Practice
Brian advises companies, private equity firms, and individual executives on a wide range of executive compensation matters, including the design, implementation and termination of compensation and benefit arrangements, including executive employment agreements, equity incentive plan and awards, phantom equity plans, bonus and incentive compensation arrangements, change in control plans and agreements, consulting and independent contractor arrangements, and nonqualified deferred compensation plans.
Brian regularly advises on executive compensation aspects of mergers and acquisitions, as well as tax laws such as Sections 280G and 409A of the Internal Revenue Code. He also advises public companies regarding compliance with SEC executive compensation disclosure rules in public filings.
