Sheppard Mullin’s Canada Desk specializes in providing comprehensive cross-border legal services to Canadian-based clients across a broad spectrum of industries.
The attorneys on this team, who come from a diverse number of practice areas, have all either practiced in Canada or have extensive experience working with Canadian-based clients and therefore have unique insights into the specific U.S. legal issues affecting such clients. Our team does not practice Canadian law and thus does not compete with Canadian law firms, rather we focus on working collaboratively with Canadian lawyers to provide comprehensive cross-border legal services to mutual clients.
The members of our Canada Desk have experience representing a diverse range of clients, including multinational corporations, small and medium-sized enterprises, startups, and individual entrepreneurs. By leveraging a deep understanding of the legal systems in both countries, we are able to provide Canadian-based clients with the United States legal advice necessary to help such clients achieve their business objectives while mitigating legal risks.
Key Areas of Expertise
Capital Markets: Assisting both Canadian-based clients seeking to raise capital in the United States as well as U.S.-based clients in financing and public M&A transactions in Canada. We are also a Principal American Liaison (PAL) for Canadian companies with securities quoted on the OTCQX, or OTCQB.
Corporate Law: Assisting Canadian-based clients with cross-border mergers and acquisitions as well as private equity and venture capital investments and joint ventures, including competition filings and navigating federal and state antitrust investigations, while ensuring compliance with applicable U.S. corporate laws.
Healthcare: Advising clients from multi-sector healthcare practices, including hospital systems, health plans, insurance companies, and digital and telehealth emerging companies on complex regulatory frameworks in the U.S. Providing guidance on compliance with U.S. healthcare laws, including reimbursement policies, privacy regulations, including HIPAA, and healthcare contract negotiations in the U.S.
Executive Compensation and Employee Benefits: Advising clients on U.S. executive compensation and employee benefits issues, including compliance, employment or consulting agreements, and equity incentive plans.
Privacy and Cybersecurity: Advising clients on state, federal and international advertising, privacy, and data security laws and helping clients build out global privacy compliance programs.
Trade and Customs: Advising on import/export regulations, tariffs, and trade agreements such as the USMCA (United States-Mexico-Canada Agreement).
Immigration Law: Facilitating the movement of professionals and employees across the border, including work visas and residency permits.
Taxation: Providing guidance on cross-border tax planning, compliance, and dispute resolution to optimize tax liabilities in both jurisdictions.
Intellectual Property: Protecting and enforcing intellectual property rights across borders, including patents, trademarks, and copyrights.
Dispute Resolution: Representing clients in cross-border litigation, arbitration, and mediation to resolve disputes efficiently and effectively.
