Daniel Clausen is a special counsel in the Corporate Practice Group in the firm's New York office.
Areas of Practice
Dan has focused his practice on investment management matters for his entire 15+ year career. He advises clients on the structuring and formation of private investment funds, including hedge funds, private equity funds, real estate funds, hybrid funds, debt and loan origination funds, and fund-of-funds. Dan's experience with fund investment strategies ranges from long/short equity to private debt to middle-market direct lending to real estate to natural resources. He also advises funds in connection with their ongoing investment and other activities, including fund restructurings and the purchase and sale of fund limited partnership interests. Dan also advises clients regarding single investor funds and separately managed accounts.
Dan also represents investors seeking to invest in private funds (pursuing any investment strategy and both open-end and closed-end funds), including reviewing fund terms and negotiating limited partnership agreements, side letters, and revenue sharing arrangements for anchor investors.
Dan also counsels clients regarding establishing an investment adviser management company and provides advice on regulatory and compliance matters, including adviser registration and developing compliance policies and procedures.
Dan also advises clients regarding regulatory issues under the Investment Company Act and Investment Advisers Act including in connection with mergers and acquisitions of investment advisers (both registered and unregistered).
