Corporate transactions are not just in the domain of M&A corporate attorneys. This program will cover the important role of employment and benefits counsel in shaping mergers and acquisitions. The presenters will provide practical guidance on conducting due diligence of labor, employment, employee benefits and executive compensation arrangements of target companies. They will also explore the different considerations arising in a stock versus an asset sale, together with practical advice on how to address and adequately protect your company as purchaser against any issues identified in the diligence process through provisions of the purchase or merger agreement. Diligence topics include, but are not limited to, stock option and other equity compensation plans, employment agreements, Section 280G parachute payments, Section 409A compliance, worker classification and restrictive covenant agreements.
