M&A Impact of the Healthcare Regulatory Landscape
California is one of several states which has seen a growing trend of more rigorous oversight and regulation of healthcare mergers and similar transactions. Earlier this year, the long-awaited cost and market impact review (CMIR) regulations promulgated by the California Office of Health Care Affordability (OHCA) came into effect and now apply to a large scope of transactions in the health care space. California also nearly enacted additional legislation (AB 3129) aimed at private equity investments in healthcare companies, which would have given the state Attorney General broad approval authority over such transactions, among other things.
