This session will provide an overview of structuring techniques and transaction features. After completing this session, participants will be able to:

• Better understand the status of traditional and new asset classes in the securities markets
• Jurisdiction of the SEC over securities and exemptions from registration as a security recognized under the Securities Act of 1933
• Gain insight into the current state of the structured finance market, including structuring techniques and transaction features
• Assess securitized products, including the impact on CLOs of the SEC’s private fund rule and the conflicts of interest rules on asset-backed securities transactions
• Extrapolate lessons from recent regulatory and legislative developments
