In recent years the Foreign Corrupt Practices Act -- the U.S. law that prohibits the bribery of foreign public officials -- has been a major enforcement priority of the U.S. Department of Justice and Securities & Exchange Commission. Huge penalties have been imposed against companies, and an increasing number of individuals have been sentenced to lengthy prison sentences.
There are dozens of current government investigations, including high profile matters involving Latin America. The importance of U.S. trade with Mexico, Brazil, Colombia, and elsewhere in Central and South America makes it particularly important that any company doing business in the region understand the risks and how to mitigate them.
In this interactive program, we will address topics such as the following:
- The importance of due diligence on agents and other representatives
- Understanding compliance challenges inherent to operations in accordance with local culture and business practices
- The need for clear processes and procedures on gift giving and other hospitality
- Identifying and addressing compliance issues in the M&A context
- The risks associated with obtaining zoning and other building authorizations
- Handling customs clearance without impermissible payments
