Overview
Eric A. Newsom is a partner in the Corporate Practice Group in the San Francisco office and a member of the Firm’s Healthcare Industry Team.
Areas of Practice
Eric’s practice focuses on mergers and acquisitions, private equity and venture capital investment transactions, complex domestic and international joint ventures, and corporate governance and compliance matters. He has represented buyers, sellers, investors and intermediaries in scores of business combination, buyout and investment transactions, with particular emphasis on the healthcare and technology industries.
In his healthcare and health technology practice, Eric focuses on mergers and acquisitions, affiliations, reorganizations, innovative and strategic joint ventures and private equity investment and disposition transactions involving for-profit and nonprofit health plans, academic medical centers, multi-hospital systems, physician groups and ambulatory and other specialty service providers, as well as startup and growth-stage companies in the healthcare information technology sector.
A significant portion of Eric’s practice involves advising clients in connection with cross-border transactions, whether engaging foreign counsel to assist domestic clients in managing offshore assets, or representing foreign clients in sales to, or strategic joint ventures with, U.S.-based businesses.

The University of California, San Francisco, in the acquisition by UCSF Medical Center of Children’s Hospital & Research Center of Oakland, a complex public-private affiliation creating a leading clinical care and academic program with the most comprehensive pediatric service suite in Northern California.
The University of California, San Diego, in multiple joint venture, affiliation and acquisition transactions.
The University of California, Davis, in the proposed acquisition by UC Davis Medical Center of a leading regional Northern California hospital system.
Aetna, Inc., in its proposed divestiture to Molina Healthcare Inc. of approximately 290,000 Medicaid Advantage members in over twenty states in connection with Aetna’s proposed combination with Humana, Inc.
Blue Shield of California, in its acquisition of Care1st Health Plan, a full-service health insurance plan serving over 500,000 members in California, Arizona and Texas.
Blue Shield of California, in its innovative joint venture with Anthem, Inc., in which Blue Shield and Anthem teamed up to establish and fund California Integrated Data Exchange, California’s first privately funded, statewide Health Information Exchange.
Blue Shield of California, in its joint venture investment alongside Dignity Health, Hill Physicians Medical Group and Anthem, Inc., in PriMed Management Services, Inc., a management services organization serving physician practices throughout Northern California.
Premera Blue Cross, in its acquisition from Soundpath, Inc. of approximately 22,000 Medicaid Advantage members in several counties in the State of Washington.
HopeLab, a social innovation lab founded by the Omidyar Group to focus on developing technologies to improve teen and young-adult health outcomes, in numerous philanthropic technology-based projects.
