Financings

• Represented private equity firm Signet Healthcare Partners in a $24 million Series B investment in Paragonix Technologies, Inc., a leading developer and manufacturer in the organ transplant industry. The deal team was led by partners Shon Glusky, special counsel Carol Archer and associates Mark Kahn and Christina Nguyen. (March 7)

Mergers & Acquisitions

• Advised Beaumont Juice, LLC (d/b/a Perricone Farms), a U.S.-based leading manufacturer of high quality, fresh squeezed juice products, in the sale to an affiliate of Trivest Partners, a leading private equity source for founder and family-owned businesses. The deal team was led by partner James Thompson and associates Rambod Peykar and Jay Lee. Invaluable assistance was provided by partners Michael Chan, Dmitriy Chelnitsky, John Crisp, Frank Dworak and Sascha Henry and associates Coby Shirazi and Michael Weisshar. (December 27)
• Represented BigTinCan Holdings Limited (ASX:BTH), a leading information technology company, in its $1.2 million acquisition of SalesDirector.ai., Inc., a privately held company developing and selling data capture and intelligence platforms. The deal team was led by partners Chad Ensz and Adam Rosenthal. (December 28)
• Advised Silver Health Care, a New Mexico-based multi-specialty medical practice, in the sale of its non-clinical assets and implementation of management services relationship to Rise Health, a primary care platform that leverages technology to support providers in taking full financial risk. The deal team was led by partner John Golembesky and associates Kirstin Smith and Ari Stobaugh. (December 5)
• Represented Utegration LLC, a Houston-based full-service consulting and solutions provider specializing in SAP® technology and SAP-certified products for the energy and utilities sectors, in its sale to Cognizant Technology Solutions Corp. (Nasdaq: CTSH), a provider of information technology consulting and business process outsourcing services. • Advised Sidus Space, Inc., a manufacturing, assembly, integration and testing facility focused on commercial satellite design, manufacture, launch and data collection, in its $5.2 million underwritten public offering. • Represented WestPark Capital, Inc., a full-service investment banking and securities brokerage firm, as sole placement agent in connection with the $6.5 million public offering of shares of common stock and concurrent private placement of warrants of EBET, Inc., a leading provider of advanced wagering products and technology.
