Sheppard Mullin’s Corporate practice has been busy closing a variety of deals and transactions recently:

Financings

• Represented Astrotech Corporation (NASDAQ: ASTC) in the closing of an $18 million upsized public offering.  The deal team also represented Astrotech the following week in a registered direct offering for $6.2 million.  Astrotech is a science and technology development and commercialization company that launches, manages and builds scalable companies based on innovative technology in order to maximize shareholder value.  The Sheppard Mullin team was led by partners John Hempill and Steve Cohen with assistance from associates Justin Anslow and Brett Uslaner. • Represented Alliance Global Partners as sole placement agent in connection with a $25 million registered direct offering of common stock and warrants of MICT, Inc. (NasdaqCM: MICT). The Sheppard Mullin deal team was led by partner Richard Friedman and associate Nazia Khan. (November 4)
• Represented San Diego-based Dermala, Inc., a consumer dermatology company developing novel, personalized, microbiome-based solutions for acne and other skin conditions, in their $6.73 million Series A financing, co-led by Johnson & Johnson Innovation – JJDC, Inc. and True Wealth Ventures. The Sheppard Mullin deal team was led by partner Michael Umansky and included associate Andrea Ramos. (November 6)

Mergers & Acquisitions

• Represented La Jolla Orthopedic Surgery Center, LLC in a complex, multi-phase deal that spanned more than a year. The initial phase of the transaction involved redeeming the majority member of Orthopedic Surgery Center, which at the time was Sutter Outpatient Services, LLC, and which was funded through a loan secured by promissory note benefiting Surgical Care Affiliates, LLC (“SCA”). The second phase of the transaction, which resulted in a joint venture among the owners of Seller, SCA, and UCSD Ambulatory Surgery Center, LLC (“UASC”), whereby the owners of Seller contributed Seller’s assets to UASC in exchange for cash and equity consideration.  The Sheppard Mullin team included of counsel Bob Sbardellati, partner Frank Dworak, and associates Lyle LeBlang, Andrea Ramos and John Crisp. • Represented Allied Universal, the largest security guard company in the U.S., in the acquisition of Safety Environment Business Solutions Inc., (S.E.B). E.B. offers security services in 22 states and employs more than 1,300 security officers with revenues exceeding $65 million.  The Sheppard Mullin team was led by partner Steve LaSala and associate Taylor Holmes, and included partners Amy Tranckino, Justin Hepworth, Shawn Fabian, Kevin Cloutier and Michael Chan; and associates Michael Weisshar, Andrea Ramos and Seth Lemings. • Represented AEgis Technologies (a portfolio company of Arlington Capital Partners) in connection with its acquisition of A-Tech, an innovative technology, R&D, products, assembly, integration, test and engineering company with a focus on space and directed energy. The Sheppard Mullin team was led by partner Luca Salvi with assistance provided by partner Frank Bacelli; special counsel Cedric Powell, associate Felicia Xu; and attorney Diandra Molina. • Represented JUST Media in the acquisition of Enigma Marketing, a B2B technology marketing agency with operations in the United Kingdom, Australia and Singapore, to create a new, independent, global, full-service agency: Just Global. The Sheppard Mullin deal team was led by partner Stephanie Zeppa and included associates Robert Kay and Nicole Danesh. (November 12)
