Financings
- Represented Time Equities, Inc., a real estate investment, development and asset and property management business, in connection with its investment in renewable energy company Oleo-X, LLC and the simultaneous purchase by Oleo-X of a shuttered chemical plant in Pascagoula, Mississippi from The Chemours Company. Oleo-X will produce renewable feedstock and fuels at the plant. The deal team was led by Tony Toranto, Steve LaSala and Lauren Ash. Whitney Roy, Nico Van Aelstyn, Matthew Rebelo, Adam Goldstein, John Crisp, Elliot Hinds and Michael O’Brien provided invaluable assistance. (June 9)
Mergers & Acquisitions
- Advised Allied Universal, the leading global security and facility services company, in its acquisition of New York-based security company, International Protective Service Agency (June 17), and in its acquisition of South Carolina-based staffing company, Action Staffing Services (July 1). The deals were led by Steve LaSala and Brandon Beshay.
- Represented European-based private equity fund ArchiMed in its acquisition of Title21 Software, Inc., a privately held software company. The deal was led by Valérie Demont and Karl Buhler. - Advised Forefront Telecare, a leading virtual behavioral health company serving vulnerable adults nationwide across the care continuum, in its acquisition by SOC Telemed, the largest national provider of specialty acute care telemedicine. In conjunction with the acquisition, SOC Telemed will be renamed Access TeleCare, and Forefront Telecare will operate as an Access TeleCare company focused on behavioral health. The deal team was led by Jamie Mercer, Lyle LeBlang and Tiana Garbett. - Represented Systems Planning & Analysis, Inc. (“SPA”), an Arlington Capital Partners portfolio company, in its acquisition of the ORCA division of Metron. SPA is a leading provider of strategic advisory, systems engineering, modeling and simulation, advanced analytics, industrial policy and program management solutions to government and defense customers in the United States and to its allies. The deal team was led by Frank Bacelli, Wes Fischer, Michael Ragan and Shinduk Seo. - Advised Vanguard Electronics, LLC, a manufacturer of both catalogue and custom high reliability magnetics for the most demanding applications in the defense, aerospace, space and medical industries in its sale to iNRCORE, LLC, a portfolio of The Jordan Company. Public Offerings
- Represented Netcapital, Inc., in connection with a $5 million public offering of common stock and warrants and concurrent listing on the Nasdaq Capital Market (NASDAQ: NCPL). Netcapital is a fintech company with a scalable technology platform that allows private companies to raise capital online from accredited and non-accredited investors. The deal was led by Richard Friedman, Gregory Carney and Hannah Zelcer. Special assistance was provided by Daniel Clausen, James Gatto, Daniel Schnapp and Samuel Cohen. (July 15)
- Advised the issuer in connection with a $4.6 million follow on public offering of American Depositary Shares of TC BioPharm (Holdings) plc (NASDAQ: TCBP), a clinical-stage biopharmaceutical company focused on the discovery, development and commercialization of gamma-delta T cell therapies for the treatment of cancer infections with human efficacy data in acute myeloid leukemia.
